These Terms of Service (“Terms”) govern your access to and use of Assemble Pro, an AI-powered video editing platform operated by Dyve Studios Inc. (“Dyve Studios,” “we,” “us,” or “our”). Dyve Studios Inc. is headquartered in Seoul, Republic of Korea. By creating an account or otherwise using Assemble Pro (the “Service”), you agree to these Terms and enter into a binding agreement with us. If you do not agree, you must not use the Service.
1. Definitions
For clarity in this document, we define certain key terms as follows:
- “Service” refers to the Assemble Pro online platform, including its website, software, AI-based video and audio editing tools, and all related services offered by Dyve Studios.
- “User” or “you” means the individual or legal entity accessing or using the Service.
- “Account” means a registered user account created to access the Service.
- “User Content” means any video, audio, images, text, or other materials that you upload, submit, or provide to the Service as input.
- “Output” (or “AI Output”) means any content (edited video, audio, transcripts, AI-generated enhancements, etc.) that the Service produces or returns to you based on or in connection with your User Content or usage of the Service.
- “Third-Party Services” refers to any third-party software, products, or services that may interoperate with or be used in conjunction with our Service (for example, export or file integration features for third-party video editing software).
2. Accounts and Eligibility
2.1 Single User Accounts: You must register an Account to use most features of the Service. Each Account is personal to a single individual user and may not be shared or used by more than one person. You are responsible for maintaining the confidentiality and security of your login credentials, and for all activities that occur under your Account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your Account or security breach. You must not sell, transfer, or allow any third party to use your Account.
2.2 Account Information: When registering, you agree to provide accurate, current, and complete information, and to keep it updated. Providing false information or impersonating another person or entity is prohibited. We reserve the right to suspend or terminate accounts that contain incorrect or outdated information.
2.3 Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you are of legal age and capable of entering into a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that entity to these Terms. We may, in our sole discretion, refuse to open an Account or provide the Service to any person or entity for any reason.
4. Permitted Use and Prohibited Conduct
We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose of editing and enhancing video/audio content, subject to your compliance with these Terms. You agree to use Assemble Pro only for lawful purposes and in accordance with these Terms. You are strictly prohibited from engaging in any of the following conduct when using our Service:
- Illegal or Harmful Use: Do not use the Service for any unlawful, illegal, fraudulent, or harmful purpose, or to violate any law or regulation. This includes (but is not limited to) using the Service to create, upload, or distribute content that is defamatory, obscene, harassing, threatening, abusive, violent, hateful, or that infringes anyone’s rights (such as intellectual property or privacy rights). You are responsible for ensuring that your use of the Service and all content you create or share complies with all applicable laws and does not violate the rights of any person.
- Abuse of the AI System: You must not abuse, misuse, or interfere with the Service’s AI and software systems. Do not attempt to trick, manipulate, or exploit the Service in a way that undermines its intended functionality or security. For example, you may not attempt to input malicious code or circumvent content/output filters and safety measures built into the AI. You also must not flood the Service with automated requests or otherwise use any automated system (like bots or scripts) to send requests to the Service beyond what is permitted, as such actions could degrade service performance or bypass usage limits.
- Unauthorized Access and Security: You must not attempt to gain unauthorized access to any part of the Service, our servers, or the accounts or data of other users. Hacking, penetration testing, or any attempt to probe, scan, or test the vulnerability of our systems without our express authorization is strictly forbidden. You agree not to interfere with or disrupt the Service or the networks and servers connected to the Service, for example by performing denial-of-service attacks or introducing any malicious software.
- No Reverse Engineering: You may not reverse engineer, decompile, decipher, disassemble, or otherwise attempt to derive the source code, underlying algorithms or know-how of the Service or any part of it, except to the limited extent that applicable law expressly permits despite this restriction. Similarly, you must not modify, adapt, translate, or create derivative works based on the Service, nor attempt to access or tamper with the AI models or data used by Assemble Pro outside of normal use of the platform.
