These Terms of Service (“Terms”) govern your access to and use of Assemble Pro, an AI-powered video editing platform operated by Dyve Studios Inc. (“Dyve Studios,” “we,” “us,” or “our”). Dyve Studios Inc. is headquartered in Seoul, Republic of Korea. By creating an account or otherwise using Assemble Pro (the “Service”), you agree to these Terms and enter into a binding agreement with us. If you do not agree, you must not use the Service.
For clarity in this document, we define certain key terms as follows:
2.1 Single User Accounts: You must register an Account to use most features of the Service. Each Account is personal to a single individual user and may not be shared or used by more than one person. You are responsible for maintaining the confidentiality and security of your login credentials, and for all activities that occur under your Account. You agree to notify us immediately at [email protected] if you suspect any unauthorized use of your Account or security breach. You must not sell, transfer, or allow any third party to use your Account.
2.2 Account Information: When registering, you agree to provide accurate, current, and complete information, and to keep it updated. Providing false information or impersonating another person or entity is prohibited. We reserve the right to suspend or terminate accounts that contain incorrect or outdated information.
2.3 Eligibility: You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you are of legal age and capable of entering into a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that entity to these Terms. We may, in our sole discretion, refuse to open an Account or provide the Service to any person or entity for any reason.
3.1 Paid Plans and Billing: Some features of Assemble Pro require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable subscription fees and any taxes assessed on your use of the Service. Fees are charged in advance on a periodic basis (e.g., monthly or annually) and your subscription will automatically renew at the end of each billing period unless you cancel beforehand. You authorize us (or our payment processor) to charge your chosen payment method on a recurring basis for the subscription fee and applicable taxes. You are responsible for providing a valid payment method and keeping your billing information up-to-date.
3.2 Payment Processing: We use a third-party payment processor (such as Stripe, Inc.) to securely handle payments. By paying for a subscription, you agree to the processor’s terms and conditions as well. We do not store your full credit card information on our servers. All fees and charges are in U.S. dollars unless otherwise stated. You are responsible for any currency conversion fees or bank charges. You are also responsible for any sales, use, value-added, or similar taxes (if applicable) on the amounts we charge you, except taxes based on our income.
3.3 Refund Policy – 30-Day Guarantee: We want you to be satisfied with our Service. Assemble Pro offers a 30-day money-back guarantee – if you are not satisfied with the Service, you may request a full refund within 30 days of your initial purchase. To request a refund under this guarantee, you must contact us at [email protected] within the 30-day period. Upon timely cancellation and request, we will refund the subscription fee you paid. This 30-day refund policy applies only to your first purchase of a given subscription plan; renewal charges are not eligible for this voluntary refund policy.
3.4 Cancellations: You may cancel your subscription at any time through your account settings or by contacting our support. If you cancel after the first 30 days, your subscription will remain active until the end of the current billing period and will not renew thereafter. Partial periods will not be refunded – for example, if you cancel mid-month or mid-year, you will not receive a pro-rated refund for the remaining days in that period. After cancellation, you will retain access to paid features until the end of the paid term that you’ve already paid for, but no further charges will be made.
3.5 No Refunds (Outside Policy): Except for the 30-day money-back guarantee described above or as required by law, all fees are non-refundable. Once a billing period has begun (and after any applicable guarantee period has passed), the charges for that period are earned in full. We will not provide refunds or credits for partially used periods, downgrades, or unused features, except at our sole discretion or where required by applicable law. These Terms do not override any rights you have under applicable consumer laws regarding refunds or cancellation that cannot be waived.
